1. Definitions

• "Client," "you," or "your" refers to the individual or entity using our website or engaging our services.
• "Services" refers to YouTube growth consulting, video production, video editing, and related creative services offered by us.

2. Services Offered

Mango Creators provides the following services:

• End-to-End YouTube Channel Management
• Video Production and Editing
• Instagram Reels Production
• Explainer Video Creation
• Live Video Streaming Services
• Podcast Production
• Corporate Video Production
• YouTube Advertising and Marketing

Specific deliverables, timelines, and pricing will be agreed upon in a separate service agreement or proposal for each project.

3. Acceptance of Terms

By accessing our website or using our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our website or services.

4. Intellectual Property Rights

4.1 Our Intellectual Property

All content on this website, including but not limited to text, graphics, logos, images, videos, and software, is the property of Mango Creators or its content suppliers and is protected by Indian copyright and intellectual property laws.

4.2 Client Content

For work produced under a service agreement:

• Full intellectual property rights for deliverables transfer to the client upon complete payment, unless otherwise specified in the project agreement.
• We reserve the right to showcase completed work in our portfolio unless a non-disclosure agreement is signed.

4.3 Third-Party Content

Any third-party content (stock footage, music, graphics) used in deliverables will be licensed appropriately. The client is responsible for ensuring continued licensing if required.

5. Client Responsibilities

When engaging our services, you agree to:

• Provide accurate and complete information necessary for project execution.
• Provide timely feedback and approvals as agreed in the project timeline.
• Ensure you have necessary rights to any content, materials, or assets you provide.
• Make payments as per the agreed payment schedule.
• Communicate any concerns or issues promptly.

6. Payment Terms

• Payment terms will be specified in the project proposal or service agreement.
• Generally, an advance payment is required before project commencement.
• All payments are to be made in Indian Rupees (INR) unless otherwise agreed.
• Invoices are payable within the timeframe specified (typically 7-15 days).
• Late payments may attract interest at 2% per month.

7. Confidentiality

Both parties agree to maintain confidentiality of proprietary information shared during the engagement. This includes but is not limited to:

• Business strategies and plans
• Financial information
• Unreleased content and creative ideas
• Technical specifications and processes

Confidentiality obligations survive termination of the service agreement.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• Our total liability for any claims arising from services shall not exceed the total fees paid by you for the specific service in question.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages.
• We are not responsible for third-party platform policies, algorithm changes, or content removals by platforms like YouTube or Instagram.
• We do not guarantee specific viewership, subscriber counts, or engagement metrics as these depend on numerous external factors.

9. Indemnification

You agree to indemnify and hold harmless Mango Creators, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your breach of these Terms.
• Your violation of any third-party rights.
• Content you provide that infringes intellectual property or other rights.
• Any misuse of the deliverables provided to you.

10. Termination

Either party may terminate a service agreement with written notice as specified in the project agreement. Upon termination:

• Payment is due for all work completed up to the termination date.
• Refunds, if applicable, will be processed as per our Refund Policy.
• All confidentiality obligations continue to apply.

11. Force Majeure

Neither party shall be liable for delays or failures in performance resulting from circumstances beyond reasonable control, including but not limited to natural disasters, government actions, epidemics, internet outages, or labor disputes.

12. Dispute Resolution

In the event of any dispute arising from these Terms or our services:

• The parties shall first attempt to resolve the dispute through good-faith negotiation.
• If unresolved within 30 days, the dispute shall be referred to mediation.
• Any remaining disputes shall be subject to the exclusive jurisdiction of courts in Pune, Maharashtra, India.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of our website or services after modifications constitutes acceptance of the updated Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
